Terms of service.

1. Who we are

Bionic Systems ("Bionic", "we", "us") designs and builds websites, software, integrations, AI and automation, and service improvements for businesses. Our site is bionicsystems.ai. You can reach us through the How to engage us section of the site or by phone at +1 212 882 1455.

2. Your account

You may create an account to manage your relationship with Bionic. You must give accurate information and keep it current. You are responsible for everything done through your account and for keeping your password confidential: choose one of at least 12 characters that you do not use elsewhere, and tell us promptly if you believe your account has been used without your permission.

We may suspend or close an account that breaks these terms, that is used for anything unlawful, or that has been inactive for an extended period, and we will tell you if we do unless the law prevents it.

3. Lanes, scope and engagements

The pricing page describes five lanes. The amounts shown are starting points: the actual scope, price and timeline of an engagement are agreed with you in writing before work begins, and that written agreement governs the engagement. Where these terms and an engagement agreement differ, the engagement agreement applies to that engagement.

Choosing a lane and subscribing creates the commercial relationship and your account; it does not by itself commit Bionic to a delivery date or a scope beyond what is agreed in writing.

4. Payment, renewal and cancellation

Payments are processed by Stripe. Prices are shown in US dollars unless stated otherwise, and exclude any taxes that apply, which are added where the law requires. By subscribing you authorize Stripe to charge your chosen payment method.

A one-time project is charged as agreed for that project. A monthly engagement renews each month until you cancel it; you can cancel at any time by asking us or, once subscription management is available on your account page, from there, and the cancellation takes effect at the end of the current billing period, with no further charges after that. Amounts already paid for a period that has started are not refunded unless your engagement agreement says otherwise or the law requires it.

If a payment fails we will let you know and may pause the engagement until it is settled.

5. Acceptable use

You agree not to use the site or your account to do anything unlawful, to interfere with the site or the accounts of others, to attempt to gain access you are not entitled to, to upload malicious code, or to misrepresent who you are or who you act for.

6. Intellectual property

The site, its design and its content belong to Bionic or its licensors and are protected by copyright and other laws. You may not copy or reuse them except as these terms or the law allow.

Who owns what is built during an engagement, including any license you receive, is set out in the engagement agreement. Nothing in these terms transfers ownership of work that has not been agreed and paid for.

If you send us feedback or suggestions, we may use them without obligation to you.

7. Third-party services

Parts of the service rely on third parties: Supabase for sign-in, the member database and account messages, Stripe for payments once they are enabled, Vercel for hosting, and Cal.com for the booking scheduler you can open from the site. Their terms apply to their services. We choose them with care but do not control them.

8. What we do not promise

The site and your account are provided as they are and as available. We work to keep them accurate, secure and online, but we do not promise they will be uninterrupted or error-free, and information on the site is not professional advice for your situation.

Our engineering and security approach is informed by recognised frameworks where they apply. Unless an engagement agreement states it for that engagement, Bionic does not claim certification, audit or formal compliance with any standard.

9. Limitation of liability

To the extent the law allows, Bionic is not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, data or goodwill, arising from the site, your account or these terms. To the same extent, our total liability for any claim relating to the site or your account is limited to the amount you paid us in the twelve months before the claim arose, or one hundred US dollars if you paid nothing.

Nothing in these terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence. Liability under an engagement is governed by the engagement agreement.

10. Ending the relationship

You may close your account at any time by asking us. We may end these terms if you break them or if we stop providing member accounts, with reasonable notice where possible. Sections that by their nature should survive, including payment obligations already incurred, intellectual property, disclaimers and limitation of liability, continue after the relationship ends.

11. Changes to these terms

We may update these terms from time to time. The effective date at the top shows the current version. For a material change we will tell members by email before it takes effect. Continuing to use your account after a change means you accept the updated terms.

12. Governing law and disputes

These terms are governed by the laws of the State of New York, United States, without regard to its conflict of laws rules. Any dispute that we cannot resolve together will be brought in the state and federal courts located in New York County, New York, and you and Bionic agree to their jurisdiction, except where the law of your country gives you the right to bring a claim where you live.
